Welcome to Looply, a service offered by Patronus Strategies, LLC ("Looply," "we," "our," or "us"). These Terms of Service govern your access to and use of Looply. By creating an account or otherwise using Looply, you agree to these Terms. If you do not agree, please do not use Looply.
1. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to create or maintain a Looply account, publish a service listing, contact another member through account features, or otherwise participate as a registered member of Looply.
Looply does not currently permit service listings for services performed by individuals under 18, including listings created or managed by a parent, guardian, or other adult on a minor's behalf.
By creating an account or publishing a service listing, you represent and warrant that you are at least 18 years old and meet these eligibility requirements.
2. Accounts
When you create an account, you agree to provide accurate and current information and to keep your login credentials secure. You are responsible for activity that occurs through your account and for promptly notifying Looply if you believe your account has been accessed or used without authorization.
You may not impersonate another person, create an account using information you are not authorized to use, or misrepresent your identity, qualifications, business, location, or services.
3. What Looply Does
Looply is an online service-discovery platform that helps people who offer skills and services be found by people looking for them. Looply provides listings, discovery tools, member features, reviews, and optional paid visibility and presentation features.
Looply does not perform the services listed on the platform, assign work, set service prices, determine work schedules, supervise how services are performed, or guarantee that any member will hire or be hired by another member.
Any agreement for services is made directly between the people involved. Looply and Patronus Strategies, LLC are not parties to that agreement. People who list services are not employees, agents, representatives, franchisees, or contractors of Looply or Patronus Strategies, LLC merely because they use the platform.
4. Service Listings and Member Responsibilities
Members who publish service listings determine the services they offer, their pricing, availability, service area, and whether to accept or decline work. They are responsible for the accuracy of their listings, the quality and legality of their work, and fulfilling any agreement they make with another person.
If you list a service, you are responsible for determining whether the work you offer requires a license, certification, registration, permit, insurance, professional qualification, or other authorization where the service is performed. You are responsible for obtaining and maintaining all requirements that apply to your work.
You may not claim to hold a license, certification, insurance policy, credential, qualification, or other authorization that you do not currently possess.
5. Credentials, Licenses, and Other Qualifications
Information about licenses, certifications, insurance, credentials, experience, and other qualifications may be supplied by the person who created the listing. Unless Looply expressly states that a specific item has been verified by Looply, that information should be treated as provider-reported and not independently verified by Looply.
If Looply verifies a particular credential in the future, any verification will apply only to the specific information and source checked at that time. It does not guarantee that the credential remains current, that additional licenses or permits are not required, or that the person is qualified or suitable for a particular project.
Before hiring someone, members should independently verify that any licenses, certifications, insurance, permits, or other credentials are current and appropriate for the work being requested.
6. Background Checks and Endorsements
Looply does not currently conduct background checks on members. Unless expressly stated otherwise for a specific item, Looply does not independently verify a member's identity, criminal history, professional history, insurance, licenses, certifications, or other qualifications.
Featured, Pro, Founding Member, or other Looply badges describe a member's Looply plan or program status. They do not mean that Looply has endorsed, screened, background checked, certified, or guaranteed that member.
7. Hiring and Service Arrangements
Members are responsible for evaluating one another before entering into a service arrangement. This may include asking questions, checking references, verifying credentials, confirming insurance when relevant, discussing the scope and price of the work, and taking other precautions appropriate to the service involved.
Looply does not guarantee the identity, availability, qualifications, reliability, conduct, workmanship, pricing, safety, legality, or suitability of any member or service.
8. Payments Between Members
Looply does not process, collect, hold, transfer, or guarantee payments for services arranged between members. Pricing, payment methods, deposits, refunds, scheduling, cancellations, and other service terms are arranged directly between the people involved.
Looply is not responsible for unpaid amounts, disputed charges, incomplete work, refunds, property damage, personal injury, or other disputes arising from an arrangement between members.
9. Looply Subscription Plans
Looply offers a Free plan and optional paid subscription plans. Current paid plan pricing is displayed on our Pricing page. As of the date of these Terms, Featured is $15 per month and Pro is $29 per month.
Featured and Pro currently include a 2-month free trial for eligible new subscribers. Unless you cancel before the trial ends, your subscription will automatically continue at the applicable monthly rate and your payment method will be charged on a recurring basis until you cancel.
Subscription payments are processed through Stripe and/or Looply's membership and billing service providers. Looply does not directly store full payment-card information.
You may cancel a paid subscription according to the cancellation options made available through Looply. Unless otherwise stated at the time of purchase, cancellation stops future recurring charges and paid plan benefits continue through the applicable paid or trial access period before the listing returns to the Free tier.
Promotional offers may have additional terms disclosed when the offer is made. Current pricing, trial terms, and plan features are available on the Pricing page and may change prospectively. Changes will not alter charges already incurred.
10. Reviews and Responses
Looply allows eligible members to submit ratings and reviews based on genuine personal experience. A member becomes eligible to review a listing after contacting that listing through Looply and must separately confirm that they actually worked with the person before submitting the review.
Looply does not independently verify that a transaction occurred, the amount paid, or the quality or scope of the work performed.
Reviews must reflect genuine experience and may not contain knowingly false statements of fact, harassment, threats, discriminatory language, unlawful content, private information, or other content that violates these Terms.
Reviews may not be purchased or conditioned on a particular rating or sentiment. Members may not submit reviews of their own services or manipulate Looply's review system.
Pro members may respond publicly to reviews in accordance with Looply's review-response rules. A 24-hour waiting period applies before a response may be submitted. Responses are subject to character limits and are permanent once submitted; they cannot currently be edited or removed by the member who posted them.
Looply may remove or restrict a review or response that violates these Terms or applicable law. Looply is not required to remove content merely because another member disagrees with it or finds a truthful negative review unfavorable.

11. User Content
You retain ownership of content you submit to Looply, including listing descriptions, profile information, photographs, reviews, and responses. By submitting content, you represent that you have the right to use and publish it and that doing so does not violate the rights of another person.
You grant Looply a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, format, and distribute content you submit as reasonably necessary to operate, promote, and improve Looply and to display your listing or other content through the platform.
If Looply assists you in creating or formatting a listing, you remain responsible for the accuracy of the information presented and for ensuring that Looply is authorized to publish it.
12. Prohibited Use
You may not use Looply to engage in unlawful, fraudulent, deceptive, abusive, threatening, discriminatory, or harmful conduct. You may not use Looply to advertise or arrange services that are illegal where they are offered or performed.
You may not post false or misleading information, impersonate another person, manipulate ratings or reviews, interfere with Looply's systems or security, attempt unauthorized access to another account or data, scrape or misuse platform data in violation of applicable law, or use Looply to distribute malicious software, spam, or fraudulent solicitations.
13. Reporting Concerns
If you believe a member, listing, review, or other content violates these Terms or creates a safety concern, you may contact us at hello@looply.live.
Looply may investigate reports and take action it considers appropriate, including restricting content, removing a listing, suspending an account, or terminating access to the platform. Looply does not promise to resolve disputes between members or determine who is legally responsible for a disagreement.
14. Suspension and Termination
Looply may suspend, restrict, or terminate access to an account or remove content when we reasonably believe these Terms have been violated, when required by law, when necessary to protect users or the platform, or when continued access presents a security, fraud, or safety concern.
You may stop using Looply at any time. Ending your account does not eliminate obligations or liabilities that arose before termination.
15. Third-Party Services
Looply relies on third-party services for functions such as website hosting, account management, analytics, communications, mapping, and payment processing. Those services may be governed by their own terms and privacy practices.
Listings may also contain links to websites or services operated by other parties. Looply is not responsible for the content, availability, security, or practices of third-party websites or services.
16. Privacy
Our collection and use of personal information are described in our Privacy Policy. By using Looply, you acknowledge that information will be handled as described there, subject to applicable law.
17. Disclaimer of Warranties
Looply is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Looply and Patronus Strategies, LLC disclaim warranties regarding the availability, accuracy, reliability, security, suitability, or uninterrupted operation of the platform.
We do not warrant or guarantee any member, listing, review, service, credential, transaction, employment or earning opportunity, customer relationship, service result, or outcome arising from use of Looply.
18. Limitation of Liability
To the maximum extent permitted by applicable law, Patronus Strategies, LLC and Looply will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or related to your use of Looply or an arrangement between members.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
19. User-Generated Content
Listings, reviews, responses, profile information, and other content submitted by members are user-generated content. Looply does not adopt user-submitted statements as its own merely by hosting or displaying them.
To the extent applicable, Looply retains the protections available to interactive computer services under federal law, including protections relating to third-party content. Nothing in these Terms is intended to expand or waive any protection available under applicable law.
20. Changes to Looply or These Terms
Looply may modify platform features, plans, policies, or these Terms as the service evolves. If we make material changes to these Terms, we will update the date below and provide any additional notice required by applicable law.
Changes apply prospectively from their effective date. Your continued use of Looply after revised Terms become effective constitutes acceptance where permitted by law.
21. Governing Law
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles, except where applicable law requires otherwise.
22. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
